1. Acceptance of Terms

By accessing or using Dealer Amplify (“the Service”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. The Service is currently available by invitation only.

2. Description of Service

Dealer Amplify is a dealership inventory management platform that enables users to manage vehicle inventory, contacts, and integrations with third-party services including Google Ads and Facebook Marketplace. The Service includes API access for publishing inventory data to external websites.

3. Accounts

• You are responsible for maintaining the security of your account credentials.
• You must provide accurate and complete information when creating an account.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Upload or transmit content that is fraudulent, misleading, or infringes on any third party's rights.
• Attempt to gain unauthorized access to the Service, other accounts, or connected systems.
• Interfere with or disrupt the integrity or performance of the Service.
• Use the Service to send spam or unsolicited communications.
• Resell or redistribute access to the Service without our written consent.

5. Third-Party Integrations

The Service allows you to connect third-party accounts (e.g., Google Ads, Facebook). By connecting these services:

• You authorize Dealer Amplify to access and manage data within those services on your behalf, limited to the functionality provided by the platform.
• You are responsible for complying with the terms of service of those third-party platforms.
• We are not responsible for actions taken by third-party services or changes to their APIs or terms.
• You may revoke integration access at any time through your Dealer Amplify settings or the third party's own account settings.

6. Your Data

• You retain ownership of all data you submit to the Service (vehicle listings, contacts, images, etc.).
• You grant us a limited license to use, store, and process your data solely for the purpose of providing the Service.
• We handle your data in accordance with our Privacy Policy.

7. API Access

The Service provides API access via service accounts. You are responsible for securing your API keys and for all requests made using them. We reserve the right to rate-limit or revoke API access if usage is excessive or abusive.

8. Availability and Warranties

The Service is provided “as is” without warranties of any kind, whether express or implied. We do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue the Service at any time with reasonable notice.

9. Limitation of Liability

To the maximum extent permitted by law, Dealer Amplify shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the twelve months preceding the claim.

10. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any reason with reasonable notice. Upon termination, your right to use the Service ceases immediately. You may request export or deletion of your data within 30 days of termination.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated terms on this page with a revised effective date. Continued use of the Service after changes constitutes acceptance of the new Terms.
